Gasp


Gasp are an often overlooked powerviolence band that came of age with the likes of Spazz, Man is The Bastard, No Comment and others during the 90's powerviolence scene. Their sound was a combination of sludge, dissonant feedback, tape manipulation, and delayed guitars. Creating a marvelous soundscape that noone has ever been pull off. Here is what Chris Dodge (bassist for Spazz, Despise You and owner of the now defunct label, Slap a Ham records) had to say about Gasp in a great article about the 90's powerviolence scene:

[Drome Triler was] another unappreciated album when it came out. It seems like people are just now showing an interest posthumously. Their early stuff was more straightforward grind, and they eventually progressed into whacked-out psychedelic noise. They broke up soon after the LP was released. Cynthia, who was the original Gasp bass player, is doing vocals for Despise You now.

Mentally Challenged / Men's Interest



Fairly new band from the Boston area featuring the lead guitarist from Mind Eraser (They sound nothing like Mind Eraser). This is pretty rad. It's noisy, dark, gloomy, blah blah blah~ Hardcore punk. It's pretty similar to Sex/Vid and Cold Sweat, while drawing main influences from 80s hc like Void. It's not your typical run of the mill hc, that's for sure. They've had a few tiny releases so far on Deerhealer, Painkiller, and some self released shit. I believe they have a few tapes, 7"s at the painkiller store, and they have a CD titled "Year One" which has all of their songs they've put out so far (which is what I'm going to upload). Grab all of their shit before it becomes ebay gold. The picture is from their demo tape.

Another new band from the Boston area is Men's Interest. They've only released a demo tape on Painkiller, which is sold out. Men's Interest are hard and heavy while being distorted and chaotic at the same time. Joe Denunzio vocalization is here along with powerful Rorschach and My War era Black Flag influence. Their demo that I'm going to upload is ripped as only one track and the recording isn't that great (sorry!) Credit to whoever ripped it. This is great, I'm really looking forward to hearing more from these dudes.

Inmates - Now We Talkin Hardcore! 7"


New 7" released earlier in 2008 by these Cleveland ragers. Has a little better production than the previous Assholes Unanimous 12", but in my opinion these songs are even better. Check the previous Inmates post for a little more info on the band and the aforementioned Assholes Unanimous Presents... album. Released on a foreign label, but I believe it is still available from reputable distros (try No Way or Grave Mistake) in the States. 
I'll try and get a better scan up of the cover art and perhaps the insert later. 

Vagina Boys




Relatively unknown garage punk band from San Francisco who put out one 7" on the Swedish label KenRock in 2007 before disbanding. Pretty fun, and the lyrics are as lude and ridiculous as the name would imply. Features Mr. California on vocals and ex-members of the Grabbies, Bunny, and Plastination, if that means anything to you.

Neon Christ was a hardcore punk band from Georgia that existed from 83-86. They released one 7" EP and had tracks on the PEACE 2xLP. They were influenced by bands like Black Flag, Bad Brains, and Crucifix and played similar to bands like Neos and Koro.

Scapegoat



Yes, there are way too many bands named Scapegoat(s). Yes, you should still listen to yet another. Really kick ass power violence influenced by some of the greats (most noticeably, Crossed Out). This Scapegoat is from Boston and put out a 7 incher on Painkiller , which is still available and on it's third press. 10 songs clocking in at 7 minutes. Rager!






Coke Bust - Cycle Of Violence




Coke Bust is a straightedge hardcore band from Washington DC. I guess they kinda sound like Infest, but with less harsh vocals. This EP was released on 200 tapes and made for their summer tour. They also have a demo 7" and the Fuck Bar Culture 7" out.

United Mutation




(cover of first ep, Fugitive Family (1983) and second ep, Rainbow Person (1984), respectively)


Here we have one of my favorite bands from the early 80s hardcore era, as well as one of the most criminally overlooked. Probably one of the first hardcore bands to use that manic gutteral scream you would see later in bands like Septic Death. This "discography" compiles their first 7", demo tracks, a large handful of compilation tracks, and some live ones. On the downside, this compilation completely neglects the studio version of their excellent second EP Rainbow Person (the live version of it is included, though) and the tracks from the first 7" are all out of order. Luckily for you, I'm also including the second EP. A cumulative 35 songs for your earholes. ESSENTIAL.

Darvocets




Some really weird KBD-inspired punk from Cleveland, OH. Most of the songs are about conspiracies involving alien sightings, martians, crop circles, time travel... you get the picture. Unfortunately they broke up earlier this year, but not before releasing the ...Are New Wave LP on Fashionable Idiots, which you might still be able to find in some distros. The ...Have Landed CD (still available I believe and put out by Gloom Records) compiles their first LP, 7" (both out of print) and a couple live tracks. Sure to annoy your parents!


The Repos- Hearts and Heads Explode


The second Repos LP released in 2006 on Youth Attack. Chicago band that played really fucking fast, short, pummeling, angry hardcore; 17 songs clock in at 11 minutes. Don't know a whole lot about them; they broke up earlier this year and their records are pretty hard to get a hold of, so have no qualms downloading this. They also have at least two other LPs on Youth Attack and a split 7" with Fourteen or Fight on Gloom Records (all out of print, of course); not sure if that's their whole discography. I guess some of these dudes continue to play in the band Chronic Seizure. Highly recommended!


Wrangler Brutes


Short lived (2003-2004) but amazinggggg band fronted by Sam McPheeters of Born Against (One of the best front mans ever), also sharing members of (Young) Pioneers, and Universal Order of Armageddon. They were possibly most noted for their crazy and hectic live performances. WB were a hardcore punk band with a sense of humor, lots of dick-sucking artwork and lyrics that would make a nun's head explode. Seriously..one of the best bands of this decade. They released a self titled cassette that eventually hit wax, an LP titled Zulu, and the more limited records~ one sided 7" and 2x8". If you've never heard of these guys you're definitely missing out. Bands That Don't Give A Shit About Being God: Boston/Lowell Compilation EP

Here we have a compilation put out by local label Social Napalm earlier in this year that documents the local scene, though it has already changed quite a bit and a few of these bands probably aren't even around anymore. Conversions and Witches With Dicks are no longer, at least, and Social Circkle is on hiatus (?). Anyway, the title of the comp. is supposed to be a play on the comp put out in the early 80s called Bands That Could Be God  also documenting the Massachusetts hardcore scene and including bands like Deep Wound and Outpatients. And you can tell - most of these bands have that early 80s hardcore influence going on, except for Conversions and WWD. Conversions, who played their last show not too long ago, are more influenced by the early 90s emo bands like Antioch Arrow and Heroin as well as Reagan-era hardcore. Those into it should also check out their LP on Level Plane. Witches With Dicks play the No Idea pop punk/Gainsville/beards stuff influenced by bands like Dillinger Four, I guess. Not really into it. 

This comp. is still in print, I think, so if your into it or any of the bands most of them are pretty easy to find, though I'm pretty sure Violent Nuns never recorded another record.


Left For Dead, Systral, The Swarm, and Mörser


Left for Dead really need no introduction, unless you cannot locate Canada on a map, or are completely oblivious to 90's straight edge hardcore. Complete moshing mayhem will ensue once you throw this album on. When that china cymbal hits, you know it's time to kill. Members also played in Haymaker, Cursed, Ruination and the Swarm.

Systral's "Black Smoker" is what i would title the "magnus opus" of the Bremen, Germany hardcore scene. Combining a very crushing style of hardcore and Entombed -esque Death Metal. Execptional sound sampling too. Members also played in Carol, Acme, Mörser and probably many more

Seeing how these band's future project; The Swarm and Mörser, crossed paths on a split I figured I might as well upload that too.

The Swarm i very similar to Left for Dead, except no china cymbal, and they introduce some slower moments into their music as well. This is not at all their best release, but it's solid. Be sure to check out their "Old Blue Eyes Is Dead" 7" if you're interested in what you hear.

Honestly, i don't know too much about Mörser. They sound like Systral v.2. They're still together i believe and haven't released anything in recent years, and supposedly have a new full length coming out in 2009 on Garden of Exile Records.

Shareholder Activism Insight

Marc Weingarten and David Rosewater from Schulte Roth & Zabel, a couple of the better legal minds working with activist investors (and some companies too), recently issued an interesting report titled “Shareholder Activism Insight”. Click here to get the full report.

The report highlights current trends in activist investing and provides an outlook for activist investing in the year ahead.

SRZ commissioned mergermarket to interview 25 senior corporate executives and 25 activist investors regarding their thoughts. Here are a few highlights:

  • 56% of overall respondents expect to see an increase in shareholder activism over the next 12 months.
  • 48% of corporate respondents view activist shareholders as short-term market opportunists.
  • 48% of activists believe corporate boards are passive rather than proactive when it comes to maximizing shareholder value.
  • 48% of activists were passive investors for a year or more before turning active.
  • 67% of corporate respondents believe the best defensive strategy a company can use against activism is maintaining an active dialogue with its shareholders.

Iron Surge Hatred Lung. Two of the best names in grinding hardcore come together to form this fucking AMAZING collaboration. Only 100 of these are out there at the moment. They were sold as test presses at Chaos in Tejas last summer. Regular pressings of this record are rumored to be out pretty soon. 9 tracks of rage, definitely a top 5 record of the year. Brain Handle - Smiling/Smiling Again 7" - Iron Lung Records
Ripping hardcore punk from these guys, one of the best EPs of the year.

Aerosols - All 3 7"s - Youth Attack
The Three 7"s from this mysterious band. Spazzy, screamy hardcore, guitarist of Ampere is in this one. Only 200 copys of each 7" were pressed (WTF)

Failures - S/T - Youth Attack/Clean Plate
Brand new LP from a band with members of all your favorite bands. Mark McCoy (Bronson), Will Killingsworth (Orchid, Ampere, etc.) and the drummer of Cancer kids. Also, one of the best LPs of 2008.

Homostupids - Two 7"s

Noisy, drug-induced, electronic?, weird, whatever, hardcore punk. It's good.

Some ultra-pissed, violent hardcore from these so-cal dudes. Fast and hard. Sick Despise You cover on here too.

In Disgust - Reality Choke - 16oh
WEST. COAST. GRIND. VIOLENCE. One of the best grind/powerviolence bands existing today.

Brain Dead - S/T and Split w/ Rot In Hell
UK PV. It's good. Political lyrics. 90's powerviolence influence with a modern hardcore twist, similar to Sidetracked and Weekend Nachos. They play well.

Burned Up, Bled Dry



Hardcore/Grind outfit from Arkansas. Started in 1996, toured and recorded heavily until a 1999 hiatus, then got back together in 2005 and just recently released a split with Arkansas' crusty-sludgy, Deadbird (Ex-Rwake). BUBD is obviously influenced by 90's fastcore, like Despise You, and Capitalist Casualties, only with a darker tone. On the Deadbird split, they have a more modern, melodic hardcore sound Aka: they got old and couldn't play fast anymore ;). They've had two 7" EPs (one on Slap-A-Ham), the recent split with Deadbird, and appear on the famous Bllleeeeaaauuurrrrgghhh! - A Music War compilation. If anyone has more info on this band, please tell me, because I'm interested.

Condominium




I want to blog about this amazing local band from here in Minneapolis. They're not named after a house, nor an apartment, not even a house boat...but a fucking Condo. This band rules, they are even better live. This is the most exciting band here currently and I really feel like sharing because they're pretty much 100% under the radar. To my knowledge, they've only hit the road once, to play a handful of dates on the east coast. This band pretty much formed after the breakup of the Formaldehyde Junkies and share members with two other local hardcore bands, Question and Pandamonium. They've self-released two 7" EPs so far; Hello Tomorrow and Pupils. Condominium plays fast; resembling early 80's hardcore. This isn't generic though, Condominium is very versatile in the way they play. You see..there are these wicked melodies underneath all of this fast punk taking from first wave punk and garage punk, complete with some extreme riffage. Watch out for more from these guys.

Kylesa


You've probably heard about this band, but you may not have actually listened to them. Kylesa are one of my favorite bands. Is it because of their raw sludgy tone? Bone chilling riffs? I don't know, but I fucking love it. They're pretty popular and most of you know about them because of all the attention they've received from their latest epic LP, Time Will Fuse Its Worth. Other than TWFIW, Kylesa has had 2 other Full Lengths, an EP, and 2 Splits. All of which are pretty unknown and under appreciated. So, I'm going to upload everything this band has released. Kylesa's sound has changed a lot throughout their existence. Their S/T is more raw and dirty while recently they've moved to a more psychedelic, and progressive sound. Still very heavy non the less. A good portion of their discography is still available at Prank's Distro, and Shirtkiller.com. So buy their stuff now. You're missing out. Kylesa's new LP should be coming out in February, so look out for that too.

Pershing Square Capital Management Announces Public Presentation on Target Corporation on Wednesday, October 29, 2008

Pershing Square Capital Management, L.P. announced today that it will host a public presentation on Wednesday, October 29, 2008 where it will detail a potential transaction that Pershing Square believes will build long-term value for Target Corporation and all of its stakeholders. All parties are welcome to attend the presentation, which will be of particular interest to investors and analysts focused on retail, real estate, fixed income and credit.

Pershing Square is a long-term investor in Target. Since acquiring its initial stake in April 2007, Pershing Square has beneficially acquired slightly less than 10% of the company's outstanding common stock.

Target's thoughtful and constructive approach with shareholders has been instrumental to Pershing Square's work in developing a potential transaction. Pershing Square believes that the insights gained by sharing the potential transaction in a public forum will benefit Target and all of its stakeholders.

Activist Spotlight: Wynnefield Small Cap Value Fund

Will the current market conditions lead to an increase in hedge fund activism? Wynnefield Partners Small Cap Value LP is one firm that has recently increased its communications with management teams as a means of protecting its investments. Below are the four situations in which Wynnefield has chosen to take a pro-active stance with management in recent months. In three of these, Wynnefield converted a 13G (5% or greater, passive investment) filing to a 13D filing (5% or greater, may seek to influence management).

Four activist situations for a single fund at one time, while not unusual, is rare. Four activist situations in three months on the part of Wynnefield Partners Small Cap Value LP is unheard of.

Nobel Learning Communities, Inc. (NLCI)
Wynnefield converted its 12.5% interest from a 13G filing to a 13D in July with the intent of persuading NLCI to enact a poison pill with a 30% trigger. Since then, Wynnefield has amended this 13D in September and October with letters to the Board, urging it to consider the acquisition offer made by Knowledge Learning Corp.

NLCI has a $130.29M market cap and is 19% institutionally held. It represents 7.4% of Wynnefield’s portfolio. Wynnefield holds 12.8% of NLCI as of its October 23rd 13D/A.

Liquidmetal Technologies, Inc. (LQMT)
Wynnefield converted its 8.34% interest from a 13G filing to a 13D in August, stating that LQMT had defaulted on its Subordinated Convertible Notes by not amortizing them ab initio. Wynnefield also stated its intent to seek a more active role in the company, “in order to protect their position and the position of other shareholders and creditors.”

Since then, Wynnefield has formally rejected LQMT’s settlement terms with respect to the Notes, and in October sent a letter to the company demanding the formation of a special committee of independent board members to evaluate the capital situation of LQMT. In the letter, Wynnefield also demanded that one of its nominees be appointed to LQMT’s board.

LQMT has a $4.92M market cap and is 2% institutionally held. It represents 0.07% of Wynnefield’s portfolio. Wynnefield holds 8.34% of LQMT as of its October 10th 13D/A (this includes the Convertible Notes and Warrants).

White Electronic Designs Corp. (WEDC)
Wynnefield converted its 5.7% interest from a 13G filing to a 13D in September, when it sent a letter to WEDC’s board in support of the request of Brian Kahn(of Kahn Capital Management LLC) to be appointed to the seat left vacant by Hamid R. Shokrgozar’s recent resignation.

Since then, Wynnefield has filed three amendments to its 13D, continuing its support of Kahn’s appointment and demanding that WEDC keep its shareholders informed of the findings of the Strategic Committee. Wynnefield has also urged the company not to waste time and money in a search for a new CEO until the Strategic Committee’s recommendations have been publicly presented.

WEDC has a $83.33M market cap and is 45% institutionally held. It represents 1.88% of Wynnefield’s portfolio. Wynnefield holds 5.8% of WEDC as of its October 20th 13D/A.

Unigene Laboratories, Inc. (UGNE)
Wynnefield amended its January 13D filing (5.4%) in September, with a letter stating its intent “to influence the Issuer’s Board and its management to take certain actions designed to enhance shareholder value.” The letter set forth a grievance list and a demand that UGNE reduce the size of the board from 9 members to 7, including 2 of Wynnefield’s nominees.

UGNE has a $55.17M market cap and is 2% institutionally held. It represents 1.49% of Wynnefield’s portfolio. Wynnefield holds 5.4% of UGNE as of its September 4th 13D/A.

Past Activism
Wynnefield and Breeze-Eastern Corp. (BZC) settled for board seats in July 2008.

Wynnefield and Crown Crafts, Inc. (CRWS) settled for board seats in June of 2008.

After pressure from Wynnefield, H. Thomas Winn resigned from the position of Chairman of the Board of Nevada Gold & Casinos, Inc. (UWN) in June of 2007 (he did not resign from the Board itself). This was also a situation in which Wynnefield converted from a 13G to a 13D; Wynnefield still holds 13% of the company.

“Wynnefield maintains a pro-active posture with respect to its portfolio names when it believes management is not taking appropriate measures to surface shareholder value, where corporate governance issues exist, or where outside assistance can be provided to a management working to implement value creating strategies. In numerous cases, we are Schedule 13-D and Form 4 filers. Wynnefield does not generally seek out Board representation. However, one of our members will, in rare circumstances where the size of the position and potential return warrants a higher level of resource commitment, accept a board of director's seat. We are not litigious and do not accept greenmail, operating only for the entire class of holders of which we are part”

Conclusion
In a very broad sense, activist hedge funds can be placed into two categories: corporate-raider and management-friendly. The former seeks a return on the fund investment by being the catalyst for a situation that drives stock prices up (and then getting out of the stock). The latter seeks to increase the value of its investment from the inside-out – by working with management to increase the productivity of a company or get the best price for shareholders if a sale of the company is warranted. Categorizing such situations is tricky: the categories themselves are fungible and it is possible for a fund to start out as one and become the other. At bottom, these descriptions end up being more indicative of situational strategies than of the funds themselves. They are the good cop/bad cop masks the funds wear to achieve the desired reaction from management.

Which type of investor in each of the above situations is Wynnefield Partners Small Cap Value LP?

Wynnefield’s general modus operandi has been to convert its 13G filing to a 13D – to switch from a passive investor to an active one. Wynnefield’s investments in the above four companies range from 0.7% to 7.4% of its portfolio – there are 34 companies within this range that have not received this level of communication from Wynnefield. It has a total of 61 stocks in its portfolio.

Under the current market conditions, can we expect more hedge fund activism, and if so, which type of activist strategy is more likely to succeed?

In the future, I think we can expect an increase in hedge fund activism from both categories. Many, many companies reached a 52-week low in the past couple of months, and nothing justifies pointing the finger at management as well as low stock prices. I think we will see plenty of action from the corporate raider types – demanding board representation and overhaul, calling for companies to be sold, etc. I think we will also see plenty of activism from investors who see value in a company and will roll up their sleeves and get in the trenches to help management get through these tough times.
